These Terms & Conditions ("Terms") govern your access to and use of amplixity.com (the "Site") and any related services, content, forms, or scheduling tools (collectively, the "Services") operated by Amplixity ("Amplixity", "we", "us"). By using the Site you agree to these Terms. Paid engagements are governed by a separate signed agreement; if there's a conflict, the signed agreement controls.

1. Eligibility

You must be at least 18 and able to enter into a binding contract. The Site is intended for business audiences and is not directed to consumers or children.

2. Acceptable use

You agree not to:

  • Use the Site for unlawful, harmful, or fraudulent purposes.
  • Attempt to access, scrape, reverse engineer, or interfere with the Site or its underlying systems.
  • Upload malicious code, probe for vulnerabilities, or bypass rate limits.
  • Submit information that is false, infringing, defamatory, or that you don't have the right to share.
  • Use the Site to harass, spam, or harm others.

3. Intellectual property

The Site, including text, graphics, video, code, branding, and the underlying technology, is owned by Amplixity or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended purpose. All other rights are reserved. "Amplixity" and our logos are our trademarks; no license to them is granted by these Terms.

4. Submissions and feedback

If you submit information through a form, email, or call, you grant us a worldwide, royalty-free license to use that information to respond to you, evaluate fit, and operate the business. Any unsolicited ideas or feedback you send are non-confidential, and we may use them without obligation. Your personal information is handled under our Privacy Policy.

5. Third-party services and links

The Site may link to or embed third-party services (e.g. scheduling, video, advertising platforms). We don't control them, don't endorse them, and aren't responsible for their content or practices. Your use of those services is governed by their own terms and privacy policies.

6. Advertising and tracking

The Site uses cookies, pixels, and conversion APIs from advertising platforms (including Meta, LinkedIn, Google, TikTok, X, Reddit, and Microsoft) to measure performance and serve ads. By using the Site you acknowledge this use and may manage your choices as described in the Privacy Policy.

7. No professional advice; no guarantees

Content on the Site is for general informational purposes only and is not legal, financial, tax, or other professional advice. Case studies and outcome statements reflect specific client results and are not promises or guarantees of future performance. Performance commitments only apply if explicitly set out in a signed engagement agreement.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMPLIXITY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

10. Indemnification

You will indemnify and hold Amplixity harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms.

11. Termination

We may suspend or terminate access to the Site at any time, with or without notice, for any reason. Sections intended to survive termination (IP, disclaimers, liability limits, indemnification, governing law) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the Site or these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Site after changes means you accept the updated Terms.
